Acceptance and scope
These Terms & Conditions (“Terms”) govern your registration for, purchase of, access to, and participation in courses offered by Procedure Solutions Management, LLC (“PSM,” “we,” “us,” or “our”) through the Procedure Solutions Online Academy, including self-paced courses and instructor-led online training.
By selecting the acceptance box at registration, completing a purchase, accessing a course, or attending an instructor-led session, you agree to these Terms. If you do not agree, do not register, purchase, access the Academy, or attend the course.
If you register, purchase, or otherwise act for a company or another learner, you represent that you are authorized to do so. Each learner must separately agree to these Terms before accessing the Academy or participating in a live session.
The course description, scheduled dates and times, price, included materials, eligibility requirements, and any course-specific terms presented at registration or in the order confirmation are part of your agreement with PSM. If a course-specific term conflicts with these Terms, the course-specific term controls for that course.
Accounts, enrollment, and access
Enrollment may require an account on the Procedure Solutions Online Academy. You must provide accurate registration information and keep your account credentials confidential. Each enrollment is for one named learner only, unless PSM expressly agrees otherwise in writing.
You may not share, sell, transfer, sublicense, or permit another person to use your login credentials, course seat, assessments, recordings, or course materials. PSM may suspend or terminate access for suspected or actual unauthorized sharing or other material violation of these Terms. Suspension or termination for a material violation does not entitle you to a refund.
Your course access period will be stated on the relevant course page or order confirmation. If no access period is stated, access to a self-paced course ends 12 months after enrollment. PSM may deactivate an inactive account after 30 days for security or administration, but an account may be restored on request during the applicable access period. Deactivation is not a substitute for the stated access period.
Course materials and intellectual property
All course content, videos, recordings, documents, exercises, assessments, trademarks, and other materials are owned by PSM or its licensors and are protected by intellectual-property laws. Subject to your payment and compliance with these Terms, PSM grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the materials solely for your own professional learning during the applicable access period.
Except as PSM expressly permits in writing, you may not copy, reproduce, modify, distribute, publish, display, transmit, record, download beyond platform-enabled functionality, create derivative works from, reverse engineer, resell, or make the materials available to another person or organization. You may not capture or share screenshots, recordings, credentials, assessments, answers, or substantial portions of the course materials for use outside your individual training.
You retain ownership of materials you independently create. If you submit work, comments, or questions in a course, you grant PSM a limited license to use that submission to administer the course, provide feedback, maintain course records, and improve the course. Do not submit another person’s confidential, proprietary, export-controlled, personal, or otherwise restricted information unless you have the right to do so and PSM has agreed in writing to receive it.
Payment, taxes, pricing, and promotions
Payment is due at registration unless PSM has approved another written payment arrangement. You authorize the applicable payment processor to charge the amount shown at checkout, including applicable taxes and authorized fees. PSM does not store your full payment-card number when payment is processed by a third-party processor.
Prices, discounts, course availability, and schedules may change prospectively. The price confirmed for your completed order applies to that order, except in the event of an obvious pricing or technical error, which PSM may correct by offering you the choice to pay the correct price or cancel for a full refund. Discount codes are valid only as issued, may not be transferred or combined unless stated, and may be withdrawn when used in error, fraudulently, or outside their stated terms.
If you believe a charge is unauthorized or incorrect, contact PSM promptly at onlineacademy@proceduresolutionsmgmt.com so that we can investigate and attempt to resolve the issue. This does not limit any non-waivable rights you may have under applicable law.
Cancellations, transfers, and refunds
Instructor-led courses
You may cancel an instructor-led course by written notice to onlineacademy@proceduresolutionsmgmt.com at least seven calendar days before the first scheduled class day. If eligible, PSM will refund the amount paid less a $75 cancellation fee.
Cancellations made fewer than seven calendar days before the first scheduled class day are not eligible for a refund. In that case, you may request one transfer to the next available offering of the same course, subject to seat availability, any eligibility requirements, and any applicable price difference. A transfer is not guaranteed until PSM confirms it in writing.
No refund is available after the instructor-led course begins, including for a late arrival, early departure, missed session, failure to complete work, failure to meet technical requirements, or failure to pass an examination. This does not affect a remedy expressly required by law.
Self-paced courses
You may cancel a self-paced course before the Access Event for a full refund. An “Access Event” occurs when you first log in to the purchased course, launch course content, play or download course materials, begin an assessment, or otherwise obtain access to the digital course content.
After an Access Event, self-paced course purchases are non-refundable, except when PSM cannot provide the purchased access and cannot reasonably cure the issue. If PSM cannot cure that issue, its remedy will be to restore access, provide a substantially comparable course, or refund the amount paid for the affected course, as appropriate.
PSM cancellation or significant schedule change
PSM may reschedule, substitute instructors, modify the delivery method, or cancel a course when reasonably necessary, including because of instructor illness, emergency, insufficient enrollment, platform failure, or events beyond PSM’s reasonable control. If PSM cancels an instructor-led course or makes a material schedule change that you cannot attend, PSM will offer transfer to a comparable course or a refund of the amount paid to PSM for the affected course. PSM is not responsible for incidental costs that PSM did not charge, including travel, lodging, wages, or other third-party expenses.
Instructor-led attendance, technology, and conduct
You are responsible for a reliable internet connection, compatible device, audio/video equipment as reasonably necessary, and a suitable environment for online participation. Course times are shown in the time zone stated on the applicable course page or order confirmation.
For instructor-led training, you may not miss more than one scheduled day. If you miss one day, PSM may provide a recording of that session for your individual make-up use, if a recording is available. The recording does not replace attendance requirements. If you miss more than one day, PSM may remove you from the current course and require you to transfer to a future offering before you continue. Any exam eligibility remains subject to the applicable certification organization’s requirements.
You must participate respectfully and professionally. You may not harass, discriminate against, threaten, disrupt, misuse the platform, impersonate another person, share answers, or interfere with another participant’s learning. PSM may remove or suspend a participant whose conduct materially disrupts the learning environment or violates these Terms. To the extent permitted by law, no refund is due for a removal based on the participant’s material violation.
Recording of live sessions
PSM may record instructor-led sessions, including audio, video, chat, screen sharing, attendance, and course interactions, to deliver the course, permit individual make-up access, administer attendance, maintain course records, train instructors, and improve course quality. By joining a live session after receiving the recording notice, you consent to the recording and to PSM’s use of the recording for these internal course-delivery purposes.
PSM will give a recording notice before recording begins. If you do not wish to appear or speak in a recording, notify the instructor before the session begins and do not enable your camera or microphone unless PSM has arranged an alternative. PSM will make reasonable efforts to accommodate the request, but may be unable to provide the course without a recording where recording is necessary to administer the course.
PSM will not use your identifiable image, voice, name, or statements from a live session in external advertising, promotion, or marketing without a separate written release from you, except where a use is otherwise permitted by law. You may not record, photograph, screen capture, or redistribute a live session without PSM’s prior written permission and the permission of all participants as required by law.
Certification training and examinations
Certain courses, including PPA Writer Certification Training, are designed to prepare participants for a certification examination administered by the Procedure Professionals Association (“PPA”). PSM is responsible for providing its training as described; PPA controls its certification program, examination policies, scoring, credentialing decisions, and any changes to those requirements. You must comply with the then-current PPA requirements in addition to these Terms.
Unless PPA provides different written requirements:
- You must take the initial certification examination within 30 calendar days after the final scheduled day of the applicable training.
- If you do not pass, you must complete any assigned remediation within seven calendar days after PSM notifies you of the remediation requirement and take a second attempt within 60 calendar days after the final scheduled day of the training.
- If you pass, PSM will make its course-completion or exam-related records available as applicable. The timing and issuance of a certification credential remain subject to PPA’s process and systems.
- If you do not take the initial examination within the stated period, PSM may make your Academy account inactive. Contact PSM for assistance; reactivation or an extension is not guaranteed and may depend on PPA rules.
PSM support after a first unsuccessful attempt
If you complete the training, take the initial examination within 30 calendar days after the final training day, do not pass, timely complete required remediation, and remain otherwise eligible, PSM will provide the following support at no additional PSM charge: a review of results, a targeted study assignment, up to 90 minutes of individual instruction, and access to the next available public PSM training session, subject to space and scheduling. This support is educational assistance, not a promise that you will pass an examination or receive a certification.
If you do not pass after using the PSM support described above, a further attempt requires a one-year waiting period and paid re-enrollment in the applicable training, unless PPA’s written rules require something different. This policy does not alter PPA’s independent examination or certification rules.
Privacy and third-party services
PSM’s collection, use, and disclosure of personal information is described in the PSM Privacy Policy. PSM may use service providers to process registrations, payments, communications, course enrollment, platform access, virtual sessions, and related administration. Those providers may process information needed to deliver the purchased course.
Your use of third-party platforms or services may also be governed by their terms and privacy notices. PSM is not responsible for a third party’s independent services, systems, or practices, but this sentence does not limit any responsibility PSM cannot lawfully disclaim.
Educational disclaimer
PSM provides educational and training services. Course content is general professional education and is not legal, engineering, safety, regulatory, employment, medical, financial, or other professional advice for your specific circumstances. You and your organization remain responsible for your own decisions, compliance obligations, procedures, safety practices, and use of course information.
PSM does not guarantee employment, promotion, business results, regulatory approval, examination results, certification, or any particular outcome from participation in a course.
Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, the Academy, courses, materials, and recordings are provided “as is” and “as available.” PSM disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, PSM and its owners, employees, instructors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or loss of goodwill, arising out of or related to a course or these Terms.
To the maximum extent permitted by applicable law, PSM’s total aggregate liability arising out of or related to a particular course or these Terms will not exceed the amount you actually paid to PSM for the course giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Indemnity
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless PSM and its owners, employees, instructors, licensors, and service providers from third-party claims, damages, liabilities, and reasonable costs arising from your unauthorized sharing or use of course materials, your violation of these Terms, or content you submit in violation of another person’s rights. This obligation applies only to the extent caused by your conduct.
Suspension and termination
PSM may suspend or terminate access when reasonably necessary to protect the Academy, participants, course materials, or PSM’s rights, or when you materially violate these Terms. Sections that by their nature should continue after termination, including intellectual-property restrictions, payment obligations, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution, survive termination.
Changes to courses and these Terms
PSM may update these Terms from time to time. The version in effect when you enroll governs your purchase, except that PSM may make changes required by law, needed for security or platform operation, or that do not materially reduce the course you purchased. For a material prospective change, PSM will post the updated Terms, revise the effective date, and provide reasonable notice through the Academy or the email associated with your account. If your continued use requires acceptance of a material updated Term, PSM will ask for affirmative acceptance.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Before filing a claim, you and PSM agree to try in good faith to resolve the dispute by written notice to onlineacademy@proceduresolutionsmgmt.com for at least 30 days.
If a dispute is not resolved informally, the state or federal courts located in Martin County, Florida will have exclusive jurisdiction, except where applicable law gives you the right to bring a claim in another forum. You and PSM each waive any objection to venue or personal jurisdiction in those courts.
General terms
These Terms, the applicable course description, order confirmation, and any written course-specific terms form the entire agreement regarding the course and replace prior discussions on that subject. If any provision is unenforceable, the remaining provisions remain in effect. PSM’s failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or course access without PSM’s written consent. PSM may assign these Terms in connection with a merger, acquisition, sale of assets, or corporate reorganization.
